ZYNEXEL INC PARTNER POLICY
Effective Date: [05/21/2025]

1. Purpose
This Partner Policy outlines the guidelines, expectations, and responsibilities for all business partners collaborating with Zynexel General Contractor. Our goal is to establish strong, transparent, and mutually beneficial partnerships that uphold the highest standards of quality, ethics, and professionalism.

2. Eligibility
To qualify as a partner of Zynexel INC, the individual or entity must:
	•	Operate a legally registered business.
	•	Possess all required licenses and certifications for their trade.
	•	Maintain active general liability insurance and workers’ compensation insurance (if applicable), with minimum coverage of $1,000,000.
	•	Provide proof of insurance and licenses prior to any job assignment.

3. Code of Conduct
Partners must:
	•	Comply with all federal, state, and local laws and regulations.
	•	Maintain professionalism and respect with clients and Zynexel INC staff.
	•	Avoid any form of fraud, discrimination, or unethical practices.
	•	Keep all Zynexel INC[Zynexel General Contractor and Zynexel]customer data confidential and secure.

4. Worksite Safety
Partners must ensure the safety of the worksite at all times. This includes:
	•	Following OSHA safety standards and local safety regulations.
	•	Ensuring all workers use appropriate personal protective equipment (PPE).
	•	Keeping the worksite clean, organized, and free of unnecessary hazards.
	•	Using caution signs or barriers when necessary to protect clients, employees, and the public.
	•	Immediately reporting any accidents, injuries, or unsafe conditions to Zynexel INC management.
Repeated or serious violations of safety standards may result in termination of the partnership and legal consequences.

5. Quality Standards
Partners must deliver work that meets or exceeds Zynexel INC quality benchmarks. All services must be completed in a timely, clean, and safe manner. Zynexel INC reserves the right to inspect, audit, or reject any substandard work.

6. Branding and Representation
Partners may not use Zynexel INC[Zynexel General Contractor or Zynexel]name, logo, or brand materials without written permission. Any authorized use must follow ZynexeL INC[ Zynexel General Contractor or Zynexel] branding guidelines.

7. Communication
Partners must maintain clear, timely, and professional communication with Zynexel INC project managers and clients. Updates on job progress or issues must be reported promptly.

8. Payment Terms
Payment terms will be outlined in individual agreements or project scopes. All invoicing must include proper documentation and adhere to agreed-upon terms. Delays in paperwork or failure to meet job requirements may result in payment holds or reductions.

9. Penalties and Fees
	•	Failure to Complete Work: If a partner fails to complete an assigned project without prior notice and valid reason, a penalty fee of up to 25% of the project’s total value may be imposed.
	•	Late Completion: Projects completed past the agreed deadline without approved extensions may incur a daily penalty fee of $150 per day.
	•	Job Cancellation: If a partner cancels an assigned job without at least 72 hours’ notice, a cancellation fee of $250 will apply.
	•	Poor Performance or Customer Complaints: If significant complaints or rework is needed due to partner negligence, Zynexel INC[ Zynexel General Contractor or Zynexel] reserves the right to charge fees to cover the costs of repairs or reassignments.

10. Termination
Zynexel INC[ Zynexel General Contractor or Zynexel] reserves the right to terminate any partnership without prior notice in the event of:
	•	Breach of policy or contract
	•	Poor performance or unprofessional conduct
	•	Safety violations
	•	Customer complaints
	•	Legal or compliance violations

11. Confidentiality
All project information, pricing, customer details, and internal processes must be treated as confidential. Unauthorized disclosure is strictly prohibited.

12. Dispute Resolution
In the case of disputes, Zynexel INC encourages resolution through direct communication. If unresolved, disputes will be handled under the jurisdiction of the State of Washington or Florida, depending on the location of the project.
